Interior Design Consulting Agreement

I. Parties

This Interior Design Consulting Agreement ("Agreement") is entered into as of [Effective Date], by and between [Client Name], located at [Client Address] ("Client"), and [Consultant Name], an interior design consultant with a principal office located at [Consultant Address] ("Consultant"). Hereinafter, Client and Consultant may be referred to individually as "Party" or collectively as "Parties."

II. Scope of Services

The Consultant agrees to provide interior design consulting services ("Services") as described in the detailed project description attached hereto and incorporated herein. The Services shall include project concept development, space planning, color and material selection, furniture and accessories procurement advice, and project coordination support. Consultant will work closely with the Client to understand their style preferences, functional needs, and budget requirements, ensuring that the final design reflects the Client's vision and objectives. All Services shall be performed in a professional manner consistent with industry standards.

III. Compensation and Payment Terms

As compensation for the Services rendered, the Client agrees to pay the Consultant a fixed fee of $[10,000]. Payment shall be made in accordance with the following schedule: 50% of the total fee upon signing this Agreement, and the remaining 50% upon completion of the Services. If additional services are required beyond those initially described, the Parties will negotiate an amendment to this Agreement to reflect the additional compensation. Late payments shall incur a fee of 1.5% per month on the outstanding balance.

IV. Term and Termination

This Agreement shall commence on the Effective Date and shall continue until the completion of the Services, unless terminated earlier by either Party. Either Party may terminate this Agreement upon 30 days’ written notice to the other Party. In the event of termination, Client shall be liable for payment for all Services performed by the Consultant up to the date of termination, pro-rated as appropriate.

V. Confidentiality

Both Parties agree to keep all proprietary information, trade secrets, and client-specific insights confidential during and after the term of this Agreement. Each Party agrees not to disclose any confidential information obtained during the course of this Agreement to any third party without prior written consent from the other Party, unless required by law. This confidentiality provision shall survive the termination or expiration of this Agreement.

VI. Independent Contractor Status

The Consultant is engaged as an independent contractor. This Agreement does not create an employer-employee relationship between the Client and the Consultant. The Consultant shall not be entitled to any benefits afforded to employees of the Client, including but not limited to health insurance, retirement plans, or sick leave. The Consultant is responsible for paying all taxes, insurances, and other statutory dues from the fees received under this Agreement.

VII. Liability and Indemnification

The Consultant shall perform the Services with the degree of skill and care that is required by current, good, and sound professional procedures. However, the Client agrees that the Consultant shall not be held liable for any incidental or consequential damages resulting from the Services rendered under this Agreement. Both Parties agree to indemnify and hold each other harmless from any claims, damages, or expenses resulting from their respective breaches of this Agreement.

VIII. General Provisions

This Agreement represents the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior agreements and understandings. If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions will continue in full force and effect. This Agreement may be amended only by a written agreement signed by both Parties.
