Membership Recruitment Agreement
This Membership Recruitment Agreement (the "Agreement") is made and entered into as of December 13, 2050, by and between:

SteelEagle, a company organized and existing under the laws of the State of Indiana, with its principal office located at Indianapolis, IN 46201 ("Recruiter").
Both parties hereby agree to the terms and conditions set forth in this Membership Recruitment Agreement.
I. RECRUITMENT SERVICES
1.1 Engagement of Services
The Company hereby engages SteelEagle to assist in the recruitment of qualified members for the Company’s [Your Company Name] membership program. SteelEagle agrees to provide services including but not limited to identifying, sourcing, and introducing potential members to the Company.
1.2 Duration of Services
The term of this Agreement shall commence on January 1, 2050, and continue until December 31, 2050, unless terminated earlier as provided in this Agreement.
II. PAYMENT AND COMPENSATION
2.1 Recruitment Fee
In consideration for the recruitment services, the Company shall pay SteelEagle a total fee of $250,000 for successful recruitment of 50 members. The fee will be payable in installments based on the achievement of agreed-upon milestones.
2.2 Payment Schedule
The first payment of $100,000 will be due on February 1, 2050, upon the completion of the first recruitment milestone. The remaining balance will be paid upon the completion of the final milestone on November 1, 2050.
2.3 Method of Payment
All payments will be made by bank wire transfer to an account specified by SteelEagle.
III. DUTIES AND OBLIGATIONS OF THE PARTIES
3.1 Obligations of the Company
The Company agrees to:
Provide SteelEagle with access to relevant membership materials and details for recruitment.
Offer appropriate support to the SteelEagle team to facilitate member introductions.
Ensure that all members recruited through this Agreement are eligible for participation in the [Your Company Name] membership program.
3.2 Obligations of SteelEagle
SteelEagle agrees to:
Conduct recruitment efforts in a professional and ethical manner, adhering to all applicable laws and Company policies.
Provide the Company with regular updates on the progress of the recruitment efforts.
Complete the recruitment process within the agreed-upon timeframes.
IV. CONFIDENTIALITY AND NON-DISCLOSURE
4.1 Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the term of this Agreement. This includes, but is not limited to, membership data, recruitment strategies, and any financial information.
4.2 Non-Disclosure
Neither party shall disclose any confidential information to third parties without the prior written consent of the other party, except as required by law or legal process.
V. GOVERNING LAW
5.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law principles.
VI. TERMINATION
6.1 Termination by the Company
The Company may terminate this Agreement at any time with 30 days' written notice to SteelEagle, should there be a breach of the terms or any performance issues.
6.2 Termination by SteelEagle
SteelEagle may terminate this Agreement with 30 days' written notice to the Company if payment milestones are not met.
